1) About Shopex
Shopex is a Sri Lanka-focused software platform that helps businesses create and manage online stores. Unless Shopex expressly states otherwise in writing for a specific transaction, Shopex only provides the platform and related payment, messaging, hosting, and support tools. The relevant Store, not Shopex, is the seller of the Store's products and services.
2) Acceptance Of These Terms
By accessing or using Shopex, including the website, Store dashboard, storefronts, checkout flow, order tracking pages, or related services, you agree to these Terms. These Terms work together with the Shopex Refund Policy and Privacy Policy. If you use Shopex for a business or organization, you confirm that you are authorized to accept these Terms on its behalf.
3) Eligibility And Authority
- You must be legally able to enter into a binding agreement under applicable law.
- If you create or manage a Store for a company, partnership, sole proprietorship, charity, or other organization, you confirm that you have authority to bind that organization.
4) Store Accounts And Verification
- Store owners must provide accurate, complete, and up-to-date account, contact, payout, and business information and must keep it updated.
- Store owners are responsible for safeguarding login credentials and for all activity carried out through their account.
- Shopex may require verification, supporting documents, or additional review before enabling or continuing access to some features, including payouts, card payments, refunds, or account recovery.
5) What Shopex Provides
Shopex provides software and infrastructure for storefront creation, order management, customer communications, payment support, refunds tooling, payout requests, and related operational features. Shopex may add, remove, improve, or modify features from time to time. We do not promise uninterrupted availability and may perform maintenance, security updates, fraud checks, or service changes where reasonably necessary.
6) Shopex's Role And Each Store's Role
- Orders placed through Shopex storefronts are orders submitted to the relevant Store.
- The Store is responsible for product quality, legality, safety, descriptions, prices, charges, stock accuracy, delivery promises, taxes, warranties, after-sales support, and any consumer-facing terms it offers.
- The Store is responsible for complying with all applicable laws and directions, including consumer protection, pricing, advertising, tax, privacy, marketing, intellectual property, and product-safety requirements.
- Shopex may intervene in payment, refund, fraud, abuse, security, or compliance situations where reasonably necessary or where required by law, a payment provider, a court, or a regulator.
7) Store Owner Responsibilities
- Store owners must display truthful and non-misleading business, product, delivery, and pricing information.
- Store owners must honor any express warranty, guarantee, delivery commitment, or refund promise they publish, in addition to any rights that cannot be excluded under applicable law.
- If a Store enables returns and refunds through Shopex, the shared Shopex return-request flow and timing apply to that Store unless Shopex expressly enables a different lawful configuration.
- For non-card customer orders, a Store that approves a refund must send the refund to the customer using the approved refund details and must not mark the refund as completed until the payment has actually been sent.
- Store owners must have all rights, permissions, and consents needed for the content, data, products, and messages they upload or send through Shopex.
- Store owners using Shopex marketing tools must obtain any consent required by law and must provide lawful unsubscribe or opt-out handling where required.
8) Customer Orders And Electronic Contracting
- Under Sri Lankan electronic transactions law, electronic records, communications, and contracts can be legally valid and enforceable.
- An order submitted through Shopex is normally treated as an offer to buy from the Store. The Store may accept, reject, or cancel an order for lawful reasons such as stock issues, pricing errors, failed verification, suspected fraud, or delivery unavailability.
- Once a Store accepts an order, the contract for the product or service is between the customer and that Store, unless Shopex expressly states that Shopex is the seller for that transaction.
- Questions about products, delivery, exchanges, returns, warranties, or order mistakes should normally be directed to the relevant Store first.
9) Payments, Balances, Payouts, And Fees
- Stores may enable supported payment methods such as debit card, credit card, bank transfer, or cash on delivery, depending on platform availability and the Store's settings.
- Shopex subscription charges, Store ID change fees, payout processing fees, setup fees, add-on fees, and similar platform charges will be disclosed before they are charged or requested.
- Customer card payments may be subject to payment-provider rules, verification checks, refund review windows, chargeback risk controls, on-hold balances, and payout holds.
- Customer payments made by bank transfer or cash on delivery may appear in Store records for operational purposes, but they are not part of the Shopex card payout balance unless Shopex expressly states otherwise.
- Shopex may delay, reject, reverse, or hold payouts or refund-related actions where reasonably necessary for fraud prevention, duplicate prevention, chargeback handling, reconciliation, sanctions screening, security, or legal compliance.
- Shopex is not responsible for disputes between a customer and a Store about the Store's goods, services, or manual bank-transfer refunds, except to the extent Shopex has a direct legal duty in the specific case.
10) Subscription Billing And Cancellations
- Shopex is offered on a subscription basis and may also include one-time or variable service fees where clearly disclosed.
- Subscription periods, pricing, discounts, introductory pricing, trial conditions, and any renewal or re-purchase terms shown at checkout or in the dashboard form part of the commercial terms for that purchase.
- Stopping use of Shopex does not automatically entitle a Store owner to a refund, credit, or prorated adjustment for charges already validly incurred.
- Confirmed or completed Shopex subscription purchases, renewals, and paid upgrades are generally non-refundable except where required by law, where Shopex expressly states otherwise, or where Shopex confirms a billing error.
11) Returns, Refunds, And Chargebacks
The Shopex Refund Policy forms part of these Terms. Customer product returns and refunds are primarily the Store's responsibility. Shopex may support automated card refund flows, payout holds, and fraud controls, but nothing in these Terms removes any consumer rights, warranty rights, or statutory remedies that cannot lawfully be excluded.
12) Content, Intellectual Property, And Platform Data
- Store owners retain ownership of the business names, logos, product content, and other materials they provide.
- Store owners grant Shopex a non-exclusive, limited license to host, process, reproduce, display, transmit, and use that content only to operate, secure, support, improve, and promote the Shopex service and the relevant Store.
- Shopex and its platform materials, software, designs, workflows, branding, and non-Store content remain the property of Shopex or its licensors.
13) Privacy And Data Use
Shopex processes personal data as described in the Privacy Policy. In many cases, Shopex acts as a service provider or processor for customer order data handled on behalf of the relevant Store, while the Store remains independently responsible for its own use of customer data outside the core Shopex service.
14) Prohibited Use
- Do not use Shopex for unlawful, fraudulent, misleading, abusive, defamatory, infringing, or harmful activity.
- Do not upload malware, attempt unauthorized access, interfere with platform security or performance, scrape protected data, or bypass platform controls.
- Do not submit false receipts, false payout details, false refund claims, fake proof, duplicate claims, or other deceptive information.
- Do not copy, resell, sublicense, or commercially exploit Shopex itself without prior written permission.
15) Third-Party Services
Shopex may rely on third-party providers for hosting, storage, authentication, analytics, messaging, payments, support, email delivery, and other infrastructure. Those providers may have their own terms, rules, policies, technical limits, and processing timelines.
16) Suspension, Restriction, And Termination
Shopex may suspend, restrict, hold, or terminate access where we reasonably believe there is fraud, non-payment, unlawful activity, refund abuse, payout abuse, security risk, sanctions risk, material breach of these Terms, or another legitimate compliance or operational concern. Store owners may stop using Shopex at any time, but fees already validly incurred remain payable subject to applicable law.
17) Disclaimers
- Shopex is provided on an "as is" and "as available" basis to the maximum extent permitted by law.
- Shopex does not guarantee uninterrupted availability, error-free operation, uninterrupted payment-provider availability, or that the platform will meet every business need.
- Shopex does not guarantee the conduct, quality, legality, or solvency of any Store or customer.
18) Limitation Of Liability
To the maximum extent permitted by law, Shopex will not be liable for indirect, incidental, special, consequential, or punitive loss, including lost profits, lost goodwill, lost opportunities, or business interruption, arising from the use of the platform. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence where such liability cannot lawfully be excluded, or any other right or remedy that cannot lawfully be limited or excluded under applicable law.
19) Indemnity By Store Owners
Each Store owner agrees to indemnify and hold Shopex harmless against reasonable losses, claims, liabilities, costs, and expenses arising out of that Store owner's products, services, customer disputes, misleading content, unlawful conduct, privacy violations, intellectual property infringement, or breach of these Terms, except to the extent caused by Shopex's own breach of law or these Terms.
20) Changes To These Terms
We may update these Terms from time to time. The updated version becomes effective when posted or when otherwise communicated by Shopex, unless a later effective date is stated. Continued use of Shopex after the effective date means you accept the updated Terms.
21) Governing Law And Disputes
These Terms are governed by the laws of Sri Lanka. Subject to any mandatory rights or procedures that apply under consumer or other applicable law, the courts of Colombo, Sri Lanka will have non-exclusive jurisdiction over disputes relating to these Terms or the Shopex platform.
